We did not audit the financial statements of 12 subsidiaries whose financial statements reflect total assets (net) of

62,024.11 crores as at
March 31, 2014, total revenues of

1,96,754.68 crores and net cash inflows amounting to

4,075.15 crores for the year ended on that date, as
considered in the consolidated financial statements. The consolidated financial statements also include the Group’s share of net profit of

9.71
crores for the year ended March 31, 2014, as considered in the consolidated financial statements, in respect of 2 associates, whose financial
statements have not been audited by us. These financial statements have been audited by other auditors whose reports have been furnished
to us by the Management and our opinion, in so far as it relates to the amounts and disclosures included in respect of these subsidiaries and
associates, is based solely on the reports of the other auditors.

The consolidated financial statements include the unaudited financial statements of 7 subsidiaries and 1 jointly controlled entity, whose financial
statements reflect total assets (net) of

438.21 crores as at March 31, 2014, total revenue of

2,438.99 crores and net cash outflows amounting
to

110.90 crores for the year ended on that date, as considered in the consolidated financial statements. The consolidated financial statements
also include the Group’s share of net loss of

71.01 crores for the year ended March 31, 2014, as considered in the consolidated financial
statements, in respect of 2 associates, based on their unaudited financial statements. Our opinion, in so far as it relates to the amounts included
in respect of these subsidiaries, jointly controlled entity and associates, is based solely on such unaudited financial statements.
